PADDOCK PCS CUSTOMER TERMS OF SALE

Seller: Paddock PCs LLC (“Paddock PCs,” “Paddock,” “we,” “us,” or “our”)
Customer: the purchaser identified on the order, quote, or invoice (“you” or “Customer”)
Site: https://paddockpcs.com

These Customer Terms of Sale (“Terms”) govern all purchases of products and services from Paddock, including build-to-order (BTO) and custom personal computers, workstations, sim-racing systems, components, accessories, and related labor (“Products” and “Services”). By placing an order, paying in full, clicking “I agree,” signing a quote, or otherwise accepting an order confirmation, you agree to these Terms, our Website Terms of Use, Privacy Policy, and Returns, Warranty & RMA Policy, each as then in effect and incorporated by reference.

If you do not agree, do not order.

1. Who we are; scope; order of documents

1.1 Business. Paddock builds and sells performance PCs and related Services from the Phoenix, Arizona area under the brand “Driven by Performance,” including marketing tiers Sprint, GT, Overtake, and Redline (tier names are marketing descriptors, not separate legal warranties unless expressly stated on your invoice).

1.2 Document order. If there is a conflict among documents for a custom build, the following order controls (highest first), unless an Arizona-licensed attorney-approved written amendment says otherwise: (a) a signed Build Service Agreement / accepted quote for that order; (b) these Terms; (c) the Returns, Warranty & RMA Policy; (d) order confirmation / invoice; (e) Website Terms of Use; (f) marketing website copy.

1.3 Not a consumer cooling-off guarantee. Online and remote sales generally are not covered by the FTC Cooling-Off Rule’s three-day cancellation right. Any cancellation rights you have are only those stated in these Terms, the Returns/Warranty/RMA Policy, a signed Build Service Agreement, or non-waivable law.

2. Quotes, orders, and acceptance

2.1 Quotes. Quotes are invitations to purchase, not binding offers, unless stated as a firm offer with an expiration date. Quotes expire on the date shown or, if none, after 14 days. Component pricing and availability can change without notice until we accept your order and lock configuration as described below.

2.2 How an order becomes binding. An order is accepted only when we (a) send a written order confirmation (email is fine) and (b) receive full payment. We may refuse or cancel any order for suspected fraud, export-control issues, supply failure, pricing/typographical error, or other legitimate business reason, and will refund amounts paid for unaccepted orders less any amounts we are entitled to retain under these Terms or non-waivable law.

2.3 Accuracy. You are responsible for providing accurate configuration choices, shipping address, contact information, and tax-exemption documentation (if any).

2.4 Age. You represent you are at least 18 years old (or the age of majority in your state) and have authority to bind yourself or the entity you represent.

3. Products: custom / BTO nature

3.1 Made to order. Most Paddock systems are configured and assembled to order. Aesthetic choices, cable management standards, cooling loops, and performance tuning may vary within published specifications. Minor variations from marketing photos are not defects.

3.2 Substitutions. If a selected part becomes unavailable, we may propose an equal-or-better substitution at the same or lower price, or a priced upgrade, for your written approval. If you decline and no reasonable substitute is available, we may cancel and refund amounts paid for undelivered Products, less permitted restocking/liquidated amounts if parts were already purchased for you.

3.3 Performance claims. Tier descriptions, thermals, and any performance references are illustrative, not guarantees of results in your games, applications, or environment. Actual results depend on titles, settings, drivers, ambient temperature, power quality, and other factors outside our control.

3.4 Software & OS. Operating systems and software are licensed by their publishers (e.g., Microsoft), not sold by us as transferable ownership of the IP. Activated or registered software is generally non-returnable. You agree to comply with all applicable end-user license agreements.

4. Pricing, taxes, and fees

4.1 Prices. Prices are in U.S. dollars and exclude shipping, handling, taxes, duties, and optional Services unless expressly included. We may correct obvious pricing errors even after confirmation; if you decline the corrected price, you may cancel for a refund of amounts paid for the cancelled portion (subject to Section 7 if work has begun).

4.2 Taxes. You are responsible for all applicable sales, use, and similar taxes. Unless you provide a valid exemption certificate acceptable to us and to the ship-to jurisdiction, we will collect tax as required. Sales tax is charged where required by law.

4.3 Fees. Assembly, burn-in, custom cable, custom loop, artwork, rush, on-site, and similar fees are as stated on your quote/invoice and may be non-refundable once the related work begins.

5. Payment and security interest

5.1 Full payment. Full payment is due when the order is placed. Payment authorizes us to order components for your configuration and schedule labor.

5.2 Payment clearance. We may begin fulfillment after payment is received and funds clear. We may withhold delivery until funds clear.

5.3 Methods. Accepted methods are major credit and debit cards through Stripe. Stripe’s terms also apply to the payment transaction.

5.4 Late amounts. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law, plus reasonable collection costs permitted by law.

5.5 Security interest. To the extent permitted by law, you grant Paddock a purchase-money security interest in the Products until we receive payment in full, and you authorize us to file financing statements.

5.6 Chargebacks. You agree to contact us first to resolve billing disputes. Initiating a chargeback without a good-faith basis after we have shipped conforming Products may result in suspension of warranty support until resolved, to the extent permitted by law and card-network rules.

6. Configuration freeze; change orders

6.1 Freeze. Your configuration freezes once the order is confirmed. After freeze, changes are change orders, not casual revisions.

6.2 Change orders. We may accept or decline change orders at our discretion based on supply and schedule. Approved changes may adjust price and lead time. The price change is the cost difference of the upgrade or change; no additional change-order fee applies.

6.3 Customer delay. If you do not respond to a substitution or approval request within 5 business days, we may pause the build, adjust lead time, or cancel under Section 7.

7. Cancellation; restocking; liquidated damages

7.1 Before freeze. If you cancel in writing before configuration freeze and before we have purchased non-returnable or special-order parts for you, we will refund payments received minus any non-refundable fees disclosed on your quote (if any).

7.2 After freeze / parts ordered. Because components and labor are committed specifically for you, if you cancel after freeze, or refuse delivery of a conforming system, you agree that Paddock may retain 15% of the order total, plus the following itemized costs, as liquidated damages (not a penalty): (a) restocking, return-shipping, and payment-processing costs; (b) diminution in value of opened or special-order parts; and (c) labor already performed.

7.3 Custom artwork / loops / irreversible work. Custom paint, vinyl, engraving, specialty sleeving, and similar irreversible customization are non-refundable once work has begun.

7.4 Our cancellation. We may cancel for supply failure, events beyond reasonable control, suspected fraud, or your material breach. If we cancel without your breach, we will refund amounts paid for undelivered Products/Services (and will not retain cancellation liquidated damages).

7.5 No change-of-mind returns on completed custom systems. Except as required by non-waivable law or expressly stated in the Returns, Warranty & RMA Policy, completed custom/BTO systems are not returnable for convenience. Warranty remedies are separate.

8. Lead times; burn-in; scheduling

8.1 Estimates only. Lead times are good-faith estimates, not guaranteed delivery dates, unless we expressly agree in a signed writing to a firm date. For all tiers, the typical lead time is 7–10 business days after payment clears and the configuration is finalized. These are estimates, not guarantees. Supply chain, special-order parts, and change orders can extend timing.

8.2 Burn-in / QA. Before shipment, every System undergoes assembly QA and burn-in testing. Duration varies by tier and configuration. Burn-in is a pre-ship baseline check and does not extend DOA or warranty coverage.

8.3 No consequential damages for delay. To the maximum extent permitted by law, we are not liable for lost gaming time, lost business profits, event deadlines, or other consequential losses from build or shipping delay.

9. Shipping; title; risk of loss

9.1 Carriers & regions. We ship via UPS, FedEx, and USPS to the United States only. Local pickup in the Phoenix area may be available by appointment.

9.2 Title & risk. Unless otherwise required by law or stated on the invoice: title and risk of loss pass to you when the carrier takes possession for shipment to you (shipment contract), except that for carrier damage on outbound shipments we select and insure, we will assist with claims as described below.

9.3 Inspection on delivery. Inspect packaging and Products promptly on delivery. Note visible damage on the carrier receipt when possible. Visible shipping damage must be reported to support@paddockpcs.com within fourteen (14) calendar days of delivery, under the DOA window in the Returns, Warranty & RMA Policy. Please report as promptly as you can, with photos of the shipping box and the unit; late notice may limit our ability to claim against the carrier.

9.4 Outbound damage claims. For damage in transit on shipments we arrange and insure, your exclusive remedy (to the extent permitted by law) is repair, replacement, or refund as we determine after claim investigation, coordinated with the carrier/insurer.

9.5 Refused delivery. Refusing delivery of a conforming order is treated as cancellation under Section 7 after the system returns to us.

9.6 International / territories. Unless we expressly agree, we do not ship outside the United States. You are responsible for duties, taxes, and brokerage if an authorized international shipment occurs.

10. Acceptance of Products

10.1 You should test the system promptly after delivery. Except for latent defects covered by warranty, Products are deemed accepted 14 days after delivery unless you notify us in writing of a non-conformity and follow the RMA process.

10.2 Acknowledgment of delivery does not waive warranty rights for covered defects.

11. Warranties; disclaimer of implied warranties

11.1 Express limited warranty. The sole express warranties for Products/Services are those in the Returns, Warranty & RMA Policy in effect on your order confirmation date (and any written extended-warranty purchase).

11.2 Manufacturer warranties. Many components carry manufacturer warranties. During the one-year workmanship warranty period, Paddock can help with troubleshooting and assist with starting and filing manufacturer (OEM) warranty claims for parts via support@paddockpcs.com. The OEM or supplier controls and decides those claims; Paddock does not promise OEM approval or repair of parts. Manufacturers’ terms control those warranties.

11.3 Disclaimer. EXCEPT FOR THE EXPRESS LIMITED WARRANTY IN THE RETURNS, WARRANTY & RMA POLICY (AND ANY WRITTEN EXTENDED WARRANTY YOU PURCHASE), AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND PADDOCK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME STATES DO NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES FOR CONSUMERS; IN SUCH STATES, IMPLIED WARRANTIES LAST ONLY AS LONG AS THE EXPRESS LIMITED WARRANTY PERIOD TO THE EXTENT PERMITTED BY LAW (SEE MAGNUSON-MOSS WHERE APPLICABLE). Nothing in these Terms limits non-waivable consumer rights under Arizona or federal law.

11.4 Data. You are solely responsible for backing up data. We are not responsible for data loss before, during, or after service, except to the extent non-waivable law provides otherwise.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. PADDOCK’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER WILL NOT EXCEED THE AMOUNTS YOU PAID TO PADDOCK FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; AND

  2. PADDOCK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, COST OF SUBSTITUTE GOODS, DOWNTIME, OR GAMING/BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

These limitations apply to claims in contract, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the fullest extent permitted. These limitations do not apply to liability that cannot be limited under Arizona law (e.g., certain personal injury caused by our willful or reckless conduct, as applicable).

13. Indemnification (business / misuse)

If you purchase as a business or use Products in a commercial setting, you will defend and indemnify Paddock and its owners, employees, and agents against third-party claims arising from your misuse of Products, illegal content stored on systems sent to us, or your breach of these Terms, except to the extent caused by our willful misconduct. Consumers: this section applies only to the extent permitted by law and does not require you to indemnify us for our own negligence where prohibited.

14. Intellectual property; feedback

14.1 Site content, logos, “Paddock PCs,” “Driven by Performance,” and tier names are our intellectual property or licensed to us. Purchase of a PC does not transfer trademark or copyright rights in our brand assets.

14.2 Custom aesthetic work we create may remain subject to our IP rights in designs; physical ownership of the finished Product transfers as provided in Section 9 subject to payment.

14.3 Feedback you provide may be used by us without obligation to you.

15. Privacy

Personal information is handled under our Privacy Policy. Payment data is typically processed by our payment provider, not stored in full by us.

16. Force majeure

We are not liable for delay or failure caused by events beyond reasonable control, including supply shortages, carrier failures, pandemics, labor disputes, war, terrorism, natural disasters, power/internet outages, cyber incidents at third parties, or governmental actions. Lead times extend for the duration of the event.

17. Export; sanctions; lawful use

You will not export or re-export Products in violation of U.S. export controls or sanctions. You represent you are not a prohibited party. You will use Products only in compliance with law.

18. Dispute resolution; governing law; venue

18.1 Governing law. These Terms and any dispute arising out of them or any order are governed by the laws of the State of Arizona, without regard to conflict-of-law rules.

18.2 Informal resolution. Before filing a claim, you agree to email josh@paddockpcs.com with a brief description of the dispute and seek good-faith resolution for 30 days.

18.3 Venue. Exclusive venue for disputes is the state or federal courts located in Maricopa County, Arizona, and each party consents to personal jurisdiction there. Either party may bring an individual claim in small-claims court if the claim qualifies.

18.4 Injunctions. Either party may seek provisional relief in court to protect IP or prevent irreparable harm.

19. Miscellaneous

19.1 Entire agreement. These Terms and the incorporated policies / accepted quote form the entire agreement for the order and supersede prior conflicting discussions (except fraud).

19.2 Amendments. We may update these Terms prospectively by posting a new version with a new effective date. Orders already accepted remain governed by the Terms in effect on acceptance, unless you and we agree otherwise in writing or law requires application of new terms.

19.3 Severability. If a provision is unenforceable, the remainder stays in effect; the unenforceable provision will be modified to the minimum extent necessary.

19.4 No waiver. Failure to enforce a provision is not a waiver.

19.5 Assignment. You may not assign orders without our consent; we may assign to a successor or affiliate.

19.6 Notices. Notices to us: Paddock PCs LLC, 822 E Ross Ave, Phoenix, AZ 85024, josh@paddockpcs.com. Notices to you: address/email on your order.

19.7 Headings. Headings are for convenience only.

19.8 Survival. Sections concerning payment, IP, disclaimers, limitations, indemnities, and dispute resolution survive.
